1. Welcome to the Wirepas Developer Portal. Before using and accessing the Wirepas Developer Portal, please read and accept these Terms of Use (“Terms”) as your use of the Wirepas Developer Portal as well as data, content and tools available thereon are subject to these Terms. Wirepas processes your personal data as described in the Privacy Policy.
2. If your organization has executed a Software License Agreement (“SLA”) with Wirepas Oy, the SLA shall prevail over these Terms in case of discrepancies.
3. You need to register an account to access the Wirepas Developer Portal. Please keep your login credentials and password safe and inform Wirepas (support@wirepas.com) immediately in case your login credentials have been exposed to third parties or if the Wirepas Developer Portal has been otherwise used without authorization.
4. You must comply with all instructions, documentation and other requirements as made available by Wirepas in relation to the Wirepas Developer Portal as well as data, content and tools available thereon. You will refrain from using the Wirepas Developer Portal in a manner that, and creating content that is, unlawful, unethical or abusive, or that may harm Wirepas’ reputation. You shall not:
   1. modify, copy, distribute, transmit, display, publish, lease, sell, license, create derivative works from or use any content on the Wirepas Developer Portal for any other purpose than in accordance with these Terms;
   2. engage in activities which hinder or prevent others from using the Wirepas Developer Portal;
   3. damage or otherwise negatively affect the operation and security of, or attempt unauthorised access to, Wirepas’s services or systems;
   4. decompile, reconstruct or reverse engineer any software, code or test data on the Wirepas Developer Portal or introduce any viruses or malicious code on the Wirepas Developer Portal;
   5. otherwise attempt to use or use the Wirepas Developer portal in violation of these Terms.
5. The Wirepas Developer Portal and the contents and tools available thereon are the property of Wirepas and/or its licensors and protected by applicable intellectual property laws. All rights in the Wirepas Developer Portal, Wirepas’ content and tools are owned by Wirepas or its licensors. Wirepas grants you a non-exclusive, worldwide, non-transferable, non-sublicensable, royalty free and revocable license to use the Wirepas Developer Portal in order to use Wirepas’ data, content and tools in accordance with and under the restrictions stated in these Terms for the term of your registration.
6. If and insofar you gain knowledge of or receive confidential information in relation to the Wirepas Developer Portal (e.g. more information for Wirepas products licensees), you must treat such information with strict confidentiality and you may not disclose the same to third parties, both during your registration to the Wirepas Developer Portal and after your registration ceases.
7. Wirepas is not responsible for the content of any websites linked to or from the Wirepas Developer Portal.
8. Use of the Wirepas Developer Portal and the content provided is at your own risk. You are responsible for evaluating the accuracy, completeness or usefulness of any information, Application Programming Interfaces (APIs), tools or other content available on the Wirepas Developer Portal. They are provided “as is” and is subject to change without prior notice. Such information is provided without representation or warranty of any kind. Wirepas excludes all liability for direct and indirect damages (including consequential loss) except for all damages that arise due to Wirepas’ willful misconduct or gross negligence.
9. Wirepas may at any time change these Terms or any additional terms that apply to specific APIs through the Wirepas Developer Portal. Wirepas has the right to change, modify or expand the functionalities, features, information and services available on the Wirepas Developer Portal at any time. Where possible, Wirepas will provide prior notice of any such action, but Wirepas reserves the right to do so without prior notice. Modifications and changes to the Wirepas Developer Portal may affect your use of the Wirepas Developer Portal. Wirepas will not be liable for any loss or damage resulting therefrom.
10. Wirepas may at any time suspend or terminate your registration and/or access to the Wirepas Developer Portal. Your registration will automatically terminate if you breach any of these Terms. Upon termination, any rights and the license granted to you under these Terms will automatically cease. Wirepas is not liable for any compensation or any damages incurred or to be incurred in relation to any termination in accordance with these Terms.
11. Wirepas may transfer its rights and/or obligations under these Terms to a third party. Your rights and obligations under these Terms cannot be transferred or assigned.
12. These Terms, any additional terms applicable to specific APIs and your use of the Wirepas Developer Portal are governed by the laws of Finland, excluding its choice of law provisions. You hereby irrevocably submit to the exclusive jurisdiction of Pirkanmaa District Court.

These Terms apply as of May 28th 2021.
